Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and Centri AI (“Centri”, “we”, “our”, or “us”) governing your access to and use of the Centri platform, including all features, integrations, and content (collectively, the “Service”). Please read these Terms carefully before using the Service.
Acceptance of Terms
By creating an account, clicking “Sign up”, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to “you” will refer to that organization.
If you do not agree to these Terms, do not access or use the Service.
Description of Service
Centri is a digital operations platform designed for solo entrepreneurs and small business owners. The Service includes:
- An AI-powered secretary for managing inbound emails, booking appointments, and answering client inquiries
- A scheduling and bookings system integrated with Google Calendar
- An inbox and CRM for organizing client communications and contacts
- An AI voice phone secretary powered by Retell AI
- A customizable public business profile page for clients to discover and book services
- A web chatbot that can be embedded on your website
- Analytics, routine automations, and business intelligence features
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you for any such modification, suspension, or discontinuation.
Eligibility
To use Centri, you must:
- Be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is higher)
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Service under the laws of your jurisdiction
- Not have had a prior Centri account terminated for violating these Terms
The Service is intended for business use. By signing up, you represent that you are using Centri to operate or promote a legitimate business or professional service.
Account Registration & Security
Registration
You must provide accurate, current, and complete information when creating your account and keep it up to date. Accounts registered with false information may be suspended without notice.
One account per person
Each person may register only one account. You may not create multiple accounts to circumvent usage limits, suspensions, or any other restriction.
Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at paul@centriai.com if you suspect unauthorized access. We will not be liable for any loss resulting from unauthorized use of your account.
Account sharing
Your account is for your use only. You may not share your login credentials with any other person or allow any third party to access the Service through your account.
Acceptable Use
You agree to use the Service only for lawful purposes. You must not:
- Use the Service to send spam, unsolicited bulk emails, or deceptive communications
- Impersonate any person, business, or entity, or misrepresent your identity or affiliation
- Use the Service to harass, abuse, threaten, or harm any person
- Use AI features to generate or distribute misleading, false, or harmful content
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Use automated scripts, bots, or crawlers to access or scrape the Service
- Reverse-engineer, decompile, or disassemble any part of the Service
- Upload or transmit viruses, malware, or any other malicious code
- Violate any applicable local, national, or international law or regulation
- Use the Service in any way that could damage, disable, or impair the Service or interfere with other users' access
- Resell, sublicense, or white-label the Service without our prior written consent
We reserve the right to investigate violations of these rules and to suspend or terminate accounts that breach this section, with or without prior notice.
Subscription & Billing
Paid plans
Some features of Centri require a paid subscription. Subscription fees, billing cycles, and plan details are described on our pricing page. All prices are in USD unless otherwise stated.
Billing
By subscribing to a paid plan, you authorize us (or our payment processor) to charge your chosen payment method on a recurring basis at the start of each billing cycle. If a payment fails, we may suspend access to paid features until the outstanding balance is settled.
Free trial
We may offer a free trial period. At the end of the trial, you will be charged for the selected plan unless you cancel before the trial ends. We will remind you before the trial expires if one is in effect.
Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.
Refunds
We do not offer refunds for partial billing periods. If you believe you were charged in error, contact us at paul@centriai.com within 14 days of the charge.
Price changes
We may change subscription prices with at least 30 days' notice. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.
AI Features & Limitations
Centri uses artificial intelligence to automate tasks such as email triage, appointment booking, client replies, and voice calls. AI outputs are generated automatically and may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing AI actions before they affect clients or third parties.
AI-generated content
The AI secretary, chatbot, and email features generate responses based on the business information you provide. You are responsible for ensuring that information is accurate and that AI-generated replies are appropriate before they are sent. We recommend enabling the approval flow so that AI drafts are reviewed before delivery.
No guarantee of accuracy
We do not warrant that AI outputs will be accurate, complete, appropriate, or suitable for any particular purpose. You should not rely on AI-generated content as legal, financial, medical, or professional advice.
AI voice calls
The AI phone secretary may interact with callers on your behalf. You are responsible for ensuring that your use of AI voice agents complies with all applicable laws, including disclosure requirements in jurisdictions that require informing callers they are speaking with an AI.
Third-party AI providers
AI features are powered by third-party providers including Anthropic (Claude) and Retell AI. Your use of these features is also subject to those providers' terms of service and usage policies.
Intellectual Property
Centri's IP
The Service, including all software, design, text, graphics, logos, and other content created by Centri, is owned by Centri AI and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.
License to use the Service
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business purposes.
Feedback
If you submit suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback into the Service without any obligation to you.
Your Content
Ownership
You retain all ownership rights to the content you upload, create, or provide through the Service (“User Content”), including your business information, knowledge base documents, email replies, and booking data.
License to Centri
By uploading or providing User Content, you grant Centri a limited, non-exclusive license to store, process, and display your User Content solely as necessary to provide the Service to you. We do not claim ownership of your content and will not use it for any purpose other than operating and improving the Service.
Your responsibility
You are solely responsible for your User Content and for ensuring it does not violate any third-party rights, applicable laws, or these Terms. We reserve the right to remove any User Content that we determine, in our sole discretion, violates these Terms.
Third-Party Services & Integrations
Centri integrates with third-party services including Google (Gmail and Calendar), Retell AI, and Anthropic. Your use of these integrations is subject to the respective third-party's terms of service and privacy policies.
We are not responsible for the availability, accuracy, or conduct of any third-party service. If a third-party integration changes its API, pricing, or terms in a way that affects Centri, we will make reasonable efforts to adapt but cannot guarantee uninterrupted availability of affected features.
Any links to third-party websites within the Service are provided for convenience only. We do not endorse or assume responsibility for the content, privacy practices, or terms of any third-party website.
Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information, including data obtained through Google APIs. By using the Service, you agree to the collection and use of data as described in our Privacy Policy.
Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
Disclaimers of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, error-free, or available at any particular time
- Any errors or defects in the Service will be corrected
- The Service is free from viruses or other harmful components
- AI-generated content will be accurate, complete, or appropriate for your needs
- Third-party integrations (Gmail, Google Calendar, Retell AI) will be continuously available
Some jurisdictions do not allow the exclusion of implied warranties, so the above may not apply to you in full.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CENTRI AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total cumulative liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to Centri in the 12 months preceding the claim, or (b) USD $100.
The limitations in this section apply regardless of the legal theory on which the claim is based (contract, tort, strict liability, or otherwise). Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless Centri AI and its officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service in violation of these Terms
- Your User Content or the content you cause to be sent through the Service
- Your violation of any third-party right, including intellectual property rights or privacy rights
- Your violation of any applicable law or regulation
- Inaccurate or incomplete business information you provide to power the AI features
Termination
By you
You may close your account and stop using the Service at any time by contacting us at paul@centriai.com or through your account settings. If you are on a paid plan, your subscription will remain active until the end of the current billing period.
By Centri
We may suspend or terminate your account immediately and without prior notice if we determine that you have violated these Terms, engaged in fraudulent or illegal activity, or if we are required to do so by law. We may also terminate inactive free accounts after 12 months of inactivity with 30 days' notice.
Effect of termination
Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days after termination in case you wish to reactivate your account, after which it will be permanently deleted. Sections 8, 12, 13, 14, and 16 of these Terms survive termination.
Governing Law & Disputes
Governing law
These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
Informal resolution
Before filing any formal legal claim, you agree to first contact us at paul@centriai.com and attempt to resolve the dispute informally. We will try to respond within 15 business days.
Disputes
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect intellectual property or confidential information.
Class action waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and update the “Last updated” date at the top of this page at least 14 days before the changes take effect. Minor changes (clarifications, typos) may be made without notice.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you disagree with the changes, you may cancel your account before the effective date.
